This clause 4.5 survives termination of this Agreement for any reason and does not merge upon completion.

Syracuse will not be in breach of these Terms or otherwise liable to you or any other person for any unavailability or failure of this Website, the Website Material or the Products or any delay or other failure by Syracuse to comply with these Terms that is caused by or arises from any event or circumstances beyond Syracuse's control.
